Penalty before LOC process started

Dear All,

Need your inputs on the below issue,
- Currently I am working on Consultancy A and got an offer with Consultancy B.
- Accepted the offer with B then put the papers in A and serving my notice period of 1 month.
- Before the notice period ends I decided not to join B due to my personal reason and LOC is still with A.
- In this case do I need to pay penalty of 1 month salary to B? (No process started with respect to LOC).

No, or at least not without a court order (i.e. they sue you and win).
