I do have my friend acting as secretary. But he is not a shareholder. Can he be the second person to meet the 2 person requirement?

I think you will find, if you read further, you will find the answer "Except as herein otherwise provided," so there is an exception to that rule (which I think you will find, is the proviso whereas there is only a single shareholder.
